These Terms of Service ("Terms") govern the services provided by MoodLoop AI ("MoodLoop AI", "we", "us", "our") through moodloopai.com and related communications (the "Services").
By engaging MoodLoop AI, you agree to these Terms. If you do not agree, you should not use our Services.
These Terms are governed exclusively by the laws of England and Wales, regardless of the client's location.
Business-to-Business Only
MoodLoop AI provides services exclusively to businesses and professionals acting in the course of trade. By engaging MoodLoop AI, you confirm you are not acting as a consumer. Consumer protection legislation does not apply.
Client Eligibility
MoodLoop AI serves independently owned and small-to-mid sized commercial businesses. We do not engage national chains, large franchise groups, or publicly listed corporations unless agreed in writing.
Nature of Services
MoodLoop AI provides structured visual authority refinement services, which may include:
Image enhancement and visual correction
Short-form video refinement
Digital presence alignment
Presentation and visual material structuring
Strategic content structuring
Social platform optimisation (where agreed)
Specific deliverables, timelines, and pricing are defined in the applicable proposal, order form, or package agreement.
2. Service Delivery
Deliverables are provided in digital format unless otherwise agreed.
Estimated turnaround times:
One-time services: typically 3–7 business days
Ongoing packages: as defined in the agreed schedule
Turnaround times are estimates only and may vary depending on project scope, responsiveness, and material availability.
MoodLoop AI reserves the right to adjust timelines where necessary and will communicate material delays.
3. Client Responsibilities
Materials and Information
You are responsible for providing all necessary materials, including:
Images and video assets
Brand materials
Product information
Required disclaimers or industry-specific guidance
Delays in providing materials or approvals may delay delivery.
Rights and Permissions
You confirm that you hold all necessary rights, licences, and permissions for any materials you supply.
MoodLoop AI does not independently verify ownership or licensing of client-provided materials and relies on your representations.
You are responsible for:
Model releases
Property releases
Music licences
Industry compliance approvals
Compliance
MoodLoop AI does not provide legal or regulatory advice. You remain responsible for ensuring that published content complies with applicable laws and platform policies.
4. Payment Terms
All pricing is agreed in advance via proposal or package terms.
One-Time Services
Full payment is required before work begins unless otherwise agreed. Projects exceeding ÂŁ390 / $500 may require a 50% non-refundable deposit.
Ongoing Packages
Billed monthly in advance
14 days' written notice required for cancellation
Unused services do not roll forward
Late Payments
Invoices unpaid beyond 15 days may incur interest at 1.5% per month. Services may be suspended after 30 days of non-payment.
All prices exclude VAT or applicable taxes.
5. Ownership and Usage Rights
Client Materials
You retain ownership of all materials you provide.
Deliverables
Upon full payment, you receive commercial usage rights to final deliverables for use within your business.
MoodLoop AI retains the right to display non-confidential work within its portfolio after public release, unless you opt out in writing.
Demonstration Materials
Demonstration or mock-up content remains clearly identified and does not constitute final commissioned work.
6. Artificial Intelligence Usage
MoodLoop AI incorporates AI-assisted tools within structured workflows.
All outputs undergo human review prior to delivery.
Where supported by platform controls, AI tools are configured to limit training on client-provided content.
AI systems may occasionally produce errors or inconsistencies. You are responsible for final approval before publication.

7. Revisions
Unless otherwise agreed:
One-time services include two rounds of revisions
Ongoing packages include reasonable revisions within scope
Major scope changes or directional shifts may incur additional fees.
8. Confidentiality
MoodLoop AI treats client information as confidential.
Confidentiality does not apply to:
Publicly available information
Information required by law to be disclosed
Work approved for portfolio use
MoodLoop AI's proprietary workflows and systems remain its intellectual property.
9. Limitation of Liability
MoodLoop AI provides services with reasonable skill and care but does not guarantee specific commercial results.
To the fullest extent permitted by law, total liability shall not exceed the amount paid for Services in the six (6) months preceding the relevant claim.
MoodLoop AI is not liable for:
Platform algorithm changes
Third-party service outages
Indirect or consequential losses
Loss of profit, revenue, contracts, or opportunity
Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or other liabilities that cannot be excluded under the laws of England and Wales.
10. Termination
By Client
Ongoing packages require 14 days' written notice
One-time projects are non-refundable once commenced
By MoodLoop AI
MoodLoop AI may terminate services for:
Non-payment
Illegal requests
Abusive or inappropriate conduct
Upon termination, you retain rights to completed, paid deliverables.
Client data is retained for up to 90 days for administrative purposes and may then be deleted.
11. Governing Law
These Terms are governed by the laws of England and Wales.
Disputes will first attempt resolution through mediation. If unresolved, proceedings shall be brought in the courts of England and Wales.
12. Demonstration Outreach
Where visual demonstrations are created using publicly available business materials for outreach purposes:
They are created solely to demonstrate technical capability
They are deleted within the same business week if no engagement occurs
They are not reused commercially without written consent
Such processing is conducted under legitimate interest (UK GDPR Article 6(1) (f)).

13. Updates
MoodLoop AI may update these Terms periodically. Continued use of Services constitutes acceptance of revised Terms.
