These Terms govern your use of MoodLoop AI services described on our site at moodloopai.com, including AI-assisted image creation/editing, short-form video packs, and social content/scheduling, plus “coming soon” offerings.
Engagement process
Discovery: Optional free 30-minute strategy call to scope goals.
Proposal: We’ll issue a written proposal with scope, deliverables, timelines, pricing, and inclusions (typically up to 2 revision rounds). Acceptance occurs when you approve in writing/e-sign and pay any required deposit.
Intake: You will provide required inputs (brief, brand assets, references, access/credentials for scheduling, etc.) via form or shared folder.
Services, revisions, and timelines
Scope: We deliver services as per the accepted proposal. Out-of-scope requests (additional deliverables/revisions) may require a change order and fee.
Revisions: Up to 2 rounds per deliverable are included by default, at our discretion to meet the agreed brief. Substantive changes in direction may be quoted separately.
Timelines: Indicative timelines from our FAQ — images 2–5 business days depending on volume; short-form video packs 3–7 business days; social calendars 5–7 business days for first month. Timelines depend on your prompt feedback and inputs.
Delivery and formats
Delivery via WeAreIndy or agreed cloud folders. Exports provided in agreed formats/sizes (e.g., JPG/PNG/TIFF for images, sRGB profiles, platform-specific video sizes). Layered/source files are not included unless explicitly purchased.
Your responsibilities
Rights: You warrant you own or have permission for all content you supply (images, footage, logos, fonts, music, likenesses) and that our use will not infringe third-party rights.
Content standards: No illegal, harmful, infringing, or prohibited content. We may decline work that violates law or platform policies.
Approvals and access: Provide timely feedback and required access to keep schedules on track.
Fees, deposits, and payment
Deposit: 50% upfront on booking unless stated otherwise; balance due on delivery or per proposal terms (e.g., Net 7/14).
Methods: Stripe and PayPal.
Late payment: UK statutory interest and costs may apply to overdue sums. We may pause work or suspend licences for non-payment.
Expenses: Pre-approved third-party costs (e.g., stock, voiceovers) will be billed to you.
Intellectual property and licensing
Your content: remains yours.
Our materials: pre-existing methods, templates, and libraries remain ours.
Final deliverables: Upon full payment, you receive a worldwide, non-exclusive, perpetual licence to use the final approved deliverables for your business purposes as described in the proposal. Transfer or resale outside that context may require additional licensing. Source files may be available at additional cost where offered.
Portfolio and publicity
Unless you opt out in writing, we may display non-confidential excerpts of final work in our portfolio and marketing after public launch.
AI-assisted production and limitations
We use AI tools alongside human direction and quality control. AI may sometimes produce artefacts or inaccuracies (e.g., text rendering). You are responsible for reviewing outputs for factual accuracy and regulatory compliance before publishing. See the AI Use Disclosure (incorporated by reference).
Social scheduling and accounts
If you grant us access to schedule posts, you remain responsible for your accounts and content approvals. We act with reasonable care but are not liable for platform outages, algorithm changes, or enforcement actions by platforms.
Confidentiality and data protection
We keep your confidential information confidential and use it only to provide services.
We process personal data in accordance with our Privacy Policy and, where required for B2B clients, can sign a Data Processing Addendum.
Warranties and disclaimers
We will provide services with reasonable skill and care suitable for small-business content production.
Except as stated, services are provided “as is” without warranties of fitness for a particular purpose or guaranteed commercial outcomes.
Limitation of liability
To the maximum extent permitted by law, our total liability arising from a project is limited to the fees you paid for that project.
We are not liable for indirect or consequential losses, including lost profits, revenue, or data.
Cancellation and termination
Cancellation before production: refund of any unused prepayment, less reasonable time/costs incurred.
After production starts: we may deduct for work performed and non-refundable third-party costs.
Either party may terminate for material breach with 14 days’ written notice if not cured. Fees for work completed to date remain payable.
Governing law and jurisdiction
England and Wales law governs. Courts of England and Wales have exclusive jurisdiction.
