1. Introduction and Scope
These Terms govern your use of MoodLoop AI services (the "Services") provided through moodloopai.com and related communications. By using our Services, you agree to these Terms. If you do not agree, please do not use our Services.
Who We Serve: MoodLoop AI exclusively serves independently owned and family-run businesses globally, but focus on clients mainly in the United States, Canada, Australia, United Kingdom, New Zealand, and Ireland. Currently we do not provide services to national chains, large franchises, or public corporations.
Our Services Include:
  • Content Creation: Short-form video content (Instagram Reels, TikTok's, YouTube Shorts), Social media management & content calendars, Content & copywriting for all platforms, Blog posts that rank and engage.
  • Visual Brand Elevation: AI-powered image transformations & premium visuals, Presentations & slide decks that impress, Brand consistency audits, Brochures, menus, and sales promos.
  • Strategic Add-ons: Content strategy sessions, Web design refreshes, Video animation & editing, Growth tracking & insights reports.
2. Service Descriptions and Deliverables
AI-Assisted Visual Content:
  • Professional image retouching, enhancement, and room mock-ups
  • All images delivered in high-resolution digital format via Google Drive or Dropbox
  • Standard turnaround: 3-5 business days for one-time orders, as scheduled for monthly packages
Video Production:
  • Short-form viral clips (5-12 seconds) optimized for social platforms
  • Showcase montages (up to 2 minutes) for product launches and brand storytelling
  • All videos delivered in platform-optimized formats with commercial usage rights
  • Standard turnaround: 5-7 business days for one-time orders, as scheduled for packages
Social Media Management:
  • Content creation, scheduling, and community engagement across specified platforms
  • Monthly content calendar planning and performance reporting
  • Services limited to platforms explicitly included in your chosen package
  • Content scheduling occurs 14-30 days in advance depending on package tier
3. Client Responsibilities
Content Provision: You must provide all source materials (images, videos, brand assets) in a timely manner. Delays in your provision of materials may delay project completion.
Rights and Permissions: You confirm you own or have proper licenses for all content you provide, including:
  • Model releases for people appearing in your content
  • Property releases for private locations
  • Copyright permissions for any third-party materials
  • Music licensing for any audio you request us to use
Brand Guidelines: You must provide accurate brand guidelines, voice/tone preferences, and any regulated claims or industry-specific requirements that need special handling.
4. Payment Terms
Currency: All prices are displayed in USD and GBP. GBP pricing is calculated at an exchange rate of 1 USD = 0.78 GBP and may fluctuate.
One-Time Services:
  • Full payment required before work begins
  • 50% non-refundable deposit for projects over $500/$390 GBP
Monthly Packages:
  • Billed on the 1st of each month
  • 14-day notice required for cancellation
  • Unused services do not roll over to subsequent months
  • Price increases require 30 days notice
Late Payments:
  • Payments overdue by 15+ days incur 1.5% monthly interest
  • Services may be paused for accounts 30+ days overdue
  • Collections for accounts 60+ days overdue
Taxes: All prices exclude applicable sales tax, VAT, or GST, which will be added at checkout based on your location.
5. Content Ownership and Licensing
Your Content: You retain full ownership of all source materials you provide.
Deliverables: Upon full payment, you receive:
  • Full commercial usage rights to all final deliverables
  • License to use content across your business channels indefinitely
  • No attribution required for MoodLoop AI
MoodLoop AI Rights: We retain the right to:
  • Showcase non-confidential work in our portfolio after public launch
  • Use anonymized process examples for educational purposes
  • You may opt out of portfolio usage with written request
AI-Generated Content: You acknowledge that AI tools may be used in content creation. Final deliverables are human-reviewed and refined before delivery.
6. AI Usage and Limitations
AI Tools: We use AI-assisted tools to enhance efficiency and creativity, but all outputs undergo human quality control and refinement.
Training Opt-Out: Where technically possible, we configure AI tools to disable training on your content. We do not permit public training on your proprietary assets.
Limitations: AI may occasionally produce artifacts, text errors, or inaccurate representations. You are responsible for:
  • Final approval of all content before publication
  • Ensuring compliance with industry regulations and platform rules
  • Verifying factual accuracy of any claims or information
Special Requirements: For regulated industries (healthcare, finance, legal, food/beverage, alcohol), please specify any compliance requirements so we can implement additional review steps.
7. Revisions and Quality Assurance
Included Revisions:
  • One-time services: 2 rounds of revisions included
  • Monthly packages: Unlimited revisions within scope
  • Social management: Content adjustments as needed within monthly limits
Out-of-Scope Changes: Major direction changes, additional platforms, or significant scope increases may incur additional fees.
Quality Standards: We commit to professional-grade deliverables. If you're unsatisfied with quality (not subjective preference), we will rework the content or provide a partial refund.
8. Confidentiality
Client Information: We treat your business information, strategies, and unreleased products as confidential and will not disclose to third parties.
Exceptions: Confidentiality does not apply to:
  • Information publicly available or independently developed
  • Disclosure required by law
  • Information you explicitly approve for portfolio use
Our Processes: Our proprietary workflows, AI configurations, and business methods remain our confidential intellectual property.
9. Limitation of Liability
Service Limitations: We are not liable for:
  • Platform algorithm changes affecting content performance
  • Third-party service outages (social platforms, payment processors)
  • Results or ROI from using our content
  • Delays caused by your late provision of materials or feedback
Maximum Liability: Our total liability for any claim related to our Services is limited to the amount you paid us in the last 6 months.
Indemnification: You agree to indemnify us against claims arising from your use of deliverables, especially if you modify content after delivery or use it in violation of platform rules.
10. Termination
By You:
Monthly packages: 14 days written notice required
One-time services: Non-refundable after work begins (50% deposit non-refundable)
You retain rights to completed, paid deliverables
By Us:
  • We may terminate for non-payment after 30 days notice
  • We may terminate for abusive behavior or illegal requests
  • You retain rights to completed, paid deliverables
Post-Termination: We retain your data for 90 days after termination for delivery purposes, then delete originals. Final deliverables may be retained for up to 12 months for re-delivery if requested.
11. Governing Law and Dispute Resolution
Jurisdiction: These Terms are governed by the laws of England and Wales.
Dispute Resolution: Any disputes will first attempt mediation through a neutral third party. If unresolved, disputes may proceed to the courts of England and Wales.
Small Claims: For claims under $10,000 USD / £7,800 GBP, you may use small claims court in your jurisdiction.
12. Modifications to Terms
We may update these Terms periodically. Changes will be posted on this page with an updated "Last Updated" date. Continued use after changes constitutes acceptance. Significant changes affecting your rights will be communicated via email.

14. Entire Agreement
These Terms constitute the entire agreement between you and MoodLoop AI regarding our Services, superseding any prior agreements or communications. If any provision is found unenforceable, the remaining provisions remain valid.
